Terms and Conditions

This is a translation of the Spanish-language document; in case of any discrepancy, the Spanish version prevails.

These Terms and Conditions apply to anyone visiting omnisol.app or using its public features. Effective as of October 20, 2026.

1. Who we are

This site (omnisol.app) and the platform it provides access to (the “Platform”) are operated by Omnisol S.A.S. (in formation, Colombia) (“Omnisol”, “we”). You can contact us at [email protected], [email protected], or [email protected], or by WhatsApp at +57 316 922 7313.

While the company’s incorporation is in process, any obligation assumed under these Terms belongs to Omnisol’s founders and will transfer to the company once incorporated, without affecting users’ rights.

2. What Omnisol is

Omnisol is a technology platform that lets businesses in different sectors (medical practices, repair shops, stores, and others) use specialized software applications (“Apps”), each delivered as an isolated instance (its own application and database) for the business that contracts it (the “Client”).

Omnisol does not sell Apps directly to the public. Sales happen through a network of authorized distributors (see the License Agreement at Software License Agreement and the Distribution Agreement at Distribution Agreement), who buy usage capacity wholesale and resell it to their own clients, setting their own resale price.

3. Who these Terms apply to

These general Terms and Conditions apply to anyone visiting omnisol.app or using its public features (forms, chat, content). Use of the Platform itself (the panel and App instances) is additionally governed by:

  • the License Agreement (end clients of an instance),
  • the Distribution Agreement (distributors),
  • the AI Pro Terms (anyone who purchases that plan),
  • the Data Processing Agreement and Privacy Policy.

If there is a conflict between these general Terms and a document specific to your role, the specific document controls.

4. Accounts

Using the panel or an instance requires an account with a username and password. You must provide accurate information, keep it current, and protect your credentials; you are responsible for all activity under your account. Notify us immediately if you suspect unauthorized access.

5. Use of the site and Platform

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the site and, depending on your role, the Platform, for the purposes described in the document applicable to you. You may not: (i) resell, sublicense, or commercially exploit the site or Platform beyond what is expressly permitted; (ii) reverse-engineer, decompile, or attempt to extract source code; (iii) use the site or Platform to build a competing product; or (iv) overload, interfere with, or attempt to breach the security of our systems. We may modify, suspend, or discontinue the site or Platform features at any time, making reasonable efforts to provide advance notice when a change materially affects the contracted service.

6. Intellectual property

The software, trademarks (including “Omnisol” and its logo), designs, text, and images on the site and Platform belong to Omnisol or its licensors. These Terms do not transfer any ownership right to you other than the limited license above. Data that you or your clients enter into an instance remains owned by its owner, as set out in the Data Processing Agreement.

7. Feedback

If you send us feedback or suggestions about the site or Platform, you grant us a free, perpetual, irrevocable license to use it without restriction, payment, or attribution.

The site may link to third-party services (e.g., WhatsApp, social media, or payment gateways). We do not control these services and are not responsible for their content or practices; their use is governed by the applicable third party’s own terms.

9. Disclaimers and limitation of liability

The site and Platform are provided “as is” and “as available.” We do not warrant they will be error-free or uninterrupted. To the maximum extent permitted by Colombian law, Omnisol will not be liable for indirect, incidental, special damages, or lost profits arising from use of the site or Platform. Role-specific liability, availability, and data-retention terms are set out in the License Agreement and the Data Processing Agreement.

10. Term and termination

These Terms apply while you use the site. We may suspend or cancel your access if you breach these Terms or applicable law. Termination rules for the contracted service (instances, licenses, credits) are in the License Agreement, the Distribution Agreement, and the Refund and Cancellation Policy.

11. Changes to these Terms

We may update these Terms. If a change is material, we will announce it on the site or by email with reasonable advance notice. Continued use of the site after a change constitutes acceptance. Accepted versions are logged per user as described in Section 12.

12. Acceptance log

Omnisol keeps a record of every acceptance of legal documents: who accepted, when, from which IP address, and which version of the document, per the Privacy Policy.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Colombia. Before resorting to litigation, the parties will attempt to resolve any dispute through a 30-calendar-day direct settlement period, counted from written notice sent to [email protected] describing the dispute. If no agreement is reached within that period, the dispute will be submitted to the competent courts of Colombia, with no arbitration, without prejudice to mandatory consumer-protection rules that may apply in the user’s country of residence.

14. General provisions

If any provision of these Terms is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision does not waive our right to enforce it later. You may not assign these Terms without our prior written consent; we may assign them freely, including to Omnisol S.A.S. once incorporated. These Terms, together with the documents referenced in Section 3, form the entire agreement between you and Omnisol regarding the site.
