Software License Agreement
Version 1.1 · Updated October 20, 2026
This is a translation of the Spanish-language document; in case of any discrepancy, the Spanish version prevails.
This License Agreement applies to the end Client operating an instance of an App from Omnisol’s catalog, acquired through an authorized distributor. Effective as of October 20, 2026.
1. Parties and purpose
This License Agreement is entered into between Omnisol S.A.S. (in formation, Colombia) (“Omnisol”) and the business that contracts an instance of an App from Omnisol’s catalog (“Client”, “you”), through an authorized distributor (“your Distributor”). It governs use of the application and its instance (the “Service”).
2. Your commercial relationship is with your Distributor
Omnisol does not sell you the Service directly: your Distributor does, who sets the price it charges you, bills and collects payment directly from you, and provides your initial commercial support. Your Distributor’s name and contact details are shown inside your instance (footer) and in your welcome communications.
Despite the above, by activating your instance you also become a client of Omnisol for purposes of this License, the Privacy Policy, and the Data Processing Agreement, because Omnisol technically operates the Service and receives part of the payment you make to your Distributor.
Important recommendation: do not pay your Distributor more than one month in advance. This protects you if your Distributor stops operating or stops paying Omnisol: your instance will keep running while Omnisol manages the situation with the Distributor, but only we can guarantee technical continuity of the Service, not a refund of money you advanced to your Distributor.
3. License granted to you
Omnisol grants you a limited, non-exclusive, non-transferable, revocable license to access and use your instance of the contracted App, solely to operate your own business, while your account is active and in good standing (directly or indirectly through your Distributor). You may not: resell access to third parties; use the Service to build a competing product; reverse-engineer it; or attempt to breach the isolation of other instances.
4. Service availability
Omnisol strives for the highest possible availability (daily backups, per-client isolation, health monitoring of each instance), but does not guarantee 100% availability. The Service is provided “as is” and “as available.” We may perform scheduled maintenance, batched updates, and, exceptionally, unplanned outages. Omnisol is not liable for indirect losses from service interruptions, without prejudice to applicable law.
5. Suspension due to your Distributor’s delinquency
Your Distributor pays Omnisol the wholesale cost of your instance. If your Distributor fails to pay on time:
- Your instance enters delinquent status but keeps working, with a visible notice.
- If delinquency continues (an initial 10-day window from the 1st of the month, a parameter Omnisol may adjust), the instance is suspended (access blocked, with a notice explaining why).
- If the situation persists, the instance is shut down (your data remains intact, see Section 6).
Throughout this process you will receive notices and may contact Omnisol’s support line. If your Distributor repeatedly breaches its obligations, you may request a transfer to another distributor without losing your data (see the Distribution Agreement).
6. What happens to your data if your instance shuts down
- Your data is retained for up to 60 days after shutdown.
- You may request data export at any time within that period (export button in the panel or request to [email protected]); you will receive an encrypted file with a download link valid for 7 days.
- We will notify you before permanent deletion (roughly at 30, 50, and 58 days after shutdown).
- After that period without an export request, data is permanently deleted, leaving only an administrative record without personal data.
- You may request early deletion of your data at any time.
7. Acceptable use
Your use of the Service must comply with the Acceptable Use Policy (Acceptable Use Policy). In particular, you may not use the Service for illegal activities, mass unsolicited messaging via WhatsApp or other channels, or to impersonate third parties.
8. Ownership of your data and processing
Data you enter into your instance (including your own clients’ or patients’ data, if applicable) remains yours. Omnisol processes it as Data Processor, per the Data Processing Agreement (Data Processing Agreement) and the Privacy Policy. Your Distributor has no access to that data or your passwords.
9. Included AI
Your instance includes access to a basic AI assistant, with daily usage limits, per the AI Terms (AI Terms). Extended features (AI Pro) require an additional purchase directly from Omnisol.
10. Limitation of liability
To the maximum extent permitted by Colombian law, Omnisol’s total liability to you for any claim related to this License is limited to the amount actually paid to Omnisol (directly, or through your Distributor and passed through to Omnisol) in the three months prior to the event giving rise to the claim. Omnisol is not liable for your Distributor’s own acts or omissions in its direct commercial relationship with you (charges, commercial promises, initial support); for those cases, see Section 6 of the Refund and Cancellation Policy on service-continuity measures.
11. Termination
You may stop using the Service at any time by marking your instance “do not renew” with your Distributor, without penalty. Omnisol may suspend or terminate your access if you breach this License, the Acceptable Use Policy, or applicable law, or if your Distributor is expelled from the network and your transfer to another distributor is not completed.
12. Changes
We may update this License. If we publish a new version, you must accept it to continue using the Service; you will be shown the acceptance screen on your next login.
13. Governing law and jurisdiction
The Client acknowledges that it acquires the Service as a business or merchant, for the purpose of its own economic activity, and not as a final consumer. For this reason, the right of withdrawal applies only where a mandatory rule imposes it on this relationship, in which case it will be exercised per that rule.
Before resorting to litigation, the parties will attempt to resolve any dispute through a 30-calendar-day direct settlement period, counted from written notice sent to [email protected] describing the dispute. If no agreement is reached within that period, this License is governed by the laws of Colombia and the dispute will be submitted to the competent courts of the Republic of Colombia, with no arbitration, without prejudice to mandatory consumer-protection rules of the Client’s country of residence.
